Amendments to the Statute of Bank Polska Kasa Opieki Spółka Akcyjna

UNOFFICIAL TRANSLATION

The Bank Polska Kasa Opieki Spółka Akcyjna (the „Bank”) hereby informs that with reference to: 1) current report 31/2021 dated 13 October 2021, in which the Bank informed that by decision dated 11 October 2021 of The District Court for The Capital City of Warsaw in Warsaw XIII Commercial Division of The National Court Register (the “Court”) registered the amendments to the Bank’s Statute adopted by the Bank’s Ordinary General Meeting of Shareholders of 11 June 2021 (“OGM 2021”) despite the Bank’s request to suspend the registration proceedings pending approval by the Polish Financial Supervision Authority; and 2) current report 7/2022 dated 12 April 2022, in which the Bank announced that as a result of the Bank’s complaint against the court registrar’s decision, the Court had set aside the proceedings with respect to the amendments to the Bank’s Statute concerning (i) the addition of § 6(1) point 19a of the Bank’s Statute (pursuant to the resolution no 35 of the OGM 2021) and (ii) the amendment of § 6(1) point 33 of the Bank’s Statute (pursuant to the resolution no 37 of the OGM 2021) for separate resolution, the Bank hereby announces that on 23 January 2023 the Bank received the Court’s decision dated 18 January 2023, in which the Court decided:

  1. register on 18 January 2023 an amendment to the Bank’s Statute adopted by resolution no 37 of the OGM 2021, pursuant to which § 6(1) point 33 of the Bank’s Statute reads:

           “Perfoming upon demand of other banks and credit institutions and Narodowy Bank Polski specified belonging to their scope of activity”

  1. dismiss the request for the entry of an amendment to § 6(1) point 19a of the Bank’s Statute.

Legal basis: § 5 point 1 in connection with § 6 of the Regulation of the Minister of Finance of 29 March 2018 regarding current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state (Journal of Laws of 2018, item 757).
