UNOFFICIAL TRANSLATION

Bank Polska Kasa Opieki Spółka Akcyjna (the “Bank”) informs that on 17 September 2025, The District Court for The Capital City of Warsaw in Warsaw, XIII Commercial Division of The National Court Register (the “Court”), pursuant to the decision of 22 August 2025, entered amendments to the Statute of Bank Polska Kasa Opieki Spółka Akcyjna (the “Statute”) adopted by Resolutions No. 53 and No. 56 of the Ordinary General Meeting of the Bank of 24 April 2025, pursuant to which:

1. § 6(1)(29) of the Statute was amended to read:

“29) Performing the function of a depositary pursuant to the provisions of the Act on the Organisation and Operation of Pension Funds and the Act on Investment Funds and the Management of Alternative Investment Funds,”.

 

2. § 18(28) of the Statute was amended to read:

“28) selection of the audit firm for the audit of financial statements or assurance of sustainability

reporting.”

 

Enclosed to this current report, the Bank provides the consolidated text of the Statute as determined by the resolution of the Supervisory Board of Bank of 29 July 2025 on the determination of the consolidated text of the Statute.

§ 5 point 1) in connection with § 6 of the Regulation of the Minister of Finance of 6 June 2025 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
